Terms and conditions

Clear foundations for good collaboration. These terms apply to every project between PC 113 Studio and its clients.

1. Scope

These terms apply to all contracts between PC EN EN TRE AS, Elias Smiths vei 25, 1337 Sandvika, Norway, org.nr 931 033 840, trading as PC 113 Studio (the "Studio"), and its clients. Conflicting client terms apply only if the Studio has agreed to them in writing. They also apply to future work between the parties without being restated.

2. Conclusion of contract

Offers are non-binding unless marked binding. A contract is formed when the Studio confirms the order in writing or starts the work. Changes and side agreements must be in writing. Email is enough.

3. Services

The scope is defined in the offer. Typical services: digital products (websites, shops, apps and portals), digital marketing (SEO, ads, content, email), digital design (brand, UX and interfaces) and AI (assistants, receptionists, automation). Work beyond the agreed scope is billed by time. Change requests may move deadlines and prices.

4. Free demo

The website demo is free and without commitment. If you do not go ahead, you owe nothing and the demo stays the Studio's property. If you go ahead, the demo becomes the first version of your project under these terms.

5. Prices and payment

Prices exclude VAT. The price in the offer is binding. Unless agreed otherwise: 50% on order confirmation, interim invoices at agreed milestones, final invoice on acceptance, payment within 14 days of the invoice date. Late payment carries statutory interest.

6. Client cooperation

The client provides texts, images, logos, access and decisions on time and in a usable form, and warrants that it holds the rights to everything it supplies. Delays caused by late cooperation are not the Studio's responsibility and may move deadlines and prices.

7. Deadlines

Deadlines are binding only when agreed in writing. Events outside the Studio's control, such as illness or third-party outages, extend them accordingly.

8. Acceptance

The client inspects the delivered work promptly and accepts it in writing or by putting it to productive use. Work counts as accepted 14 days after delivery unless significant defects have been reported in writing. Minor defects do not block acceptance and are fixed under the warranty.

9. Usage rights

On full payment the client receives the exclusive, unlimited right to use the delivered work for the agreed purpose. The Studio may show the work in its portfolio, case studies and social media unless agreed otherwise. Open-source components keep their own licences.

10. Warranty

The Studio warrants its work for 12 months from acceptance and will first repair or replace. If that fails twice, the client may reduce the price or withdraw from the contract.

11. Liability

The Studio is liable without limit for intent, gross negligence and injury to life or health. For slight negligence it is liable only for breaches of essential obligations, limited to the foreseeable damage typical of the contract. Liability for lost profit, indirect damage and data loss is excluded as far as the law allows.

12. Duration and termination

Project contracts end on delivery and acceptance. Maintenance and hosting contracts run indefinitely and may be ended by either party with three months' notice to the end of a quarter. Termination for good cause remains possible. Terminations must be in writing.

13. This website

The design, text, code and images on pc113studio.no belong to the Studio, except material owned by others, such as other companies' logos and screenshots. Copying the site or large parts of it, by hand or with automated tools, needs the Studio's written permission.

14. Final provisions

Norwegian law applies, excluding the CISG. Disputes with business clients go to the courts at the Studio's registered seat (Ringerike, Asker og Bærum tingrett). If a clause is invalid, the rest stays in force.
